At the end of the day, any business acquisition, including a franchise, contains a commercial risk. You must be prepared to take that risk if you wish to benefit from the rewards of business ownership. Buying a franchise system does appear to reduce the risks; however it is not a guarantee of success – franchisees have been known to fail. It is important to be aware that when buying a franchise, the challenges experienced are the same as with any other type of business. However, being a ‘legal relationship’, purchasing a franchise has added complications that must be researched properly and understood.

BDA formally counsels that you investigate your choice of franchise using your own independent accounting and legal advisers. If dealing with advisers you already know and trust, it is important that they have sufficient expertise in the specialist area of franchising and that they provide you with a written disclosure of their experience and qualifications. At BDA, we advise that our clients only deal with advisors who can demonstrate that they have extensive franchising experience, to do otherwise is inviting trouble. If you need a recommendation on solicitors with the appropriate experience, we are happy to help.

Never sign a franchise agreement without first seeking legal advice. We strongly recommend that you obtain independent advice on the contents of any franchise agreement from a solicitor. It is also recommended that you retain any written material provided by your franchisor, including all sales brochures, disclosure documents and the agreements provided.
